Using Coline
These Terms are an agreement between you and Coline Technologies, Inc. By accessing or using Coline, you agree to these Terms. If you use Coline on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Coline may provide additional terms for specific products, plans, previews, developer features, integrations, or enterprise agreements. If those additional terms conflict with these Terms, the additional terms control for that specific feature or agreement.

Accounts and workspaces
You are responsible for your account, credentials, API keys, OAuth clients, workspace memberships, invited users, and all activity under your account or workspace.
Account requirements
Provide accurate account information, keep credentials secure, use Coline only if you can lawfully enter into these Terms, and notify us about unauthorized access.
Workspace administration
Workspace owners and admins may control members, roles, permissions, files, apps, integrations, API keys, OAuth clients, billing, exports, and retention settings.
If your account is part of a workspace controlled by an organization, that organization may manage your access to the workspace and its content. Coline is not responsible for disputes between workspace members, admins, owners, or organizations.

Your content
You keep ownership of content you submit to Coline. This includes files, messages, docs, notes, sheets, taskboards, calendar events, app data, code, prompts, outputs, and other workspace materials.
- You grant Coline a license to host, store, copy, display, transmit, process, index, search, format, secure, back up, and otherwise use your content as needed to provide and improve the service.
- You are responsible for having the rights and permissions needed to upload, share, publish, process, or connect content through Coline.
- You control sharing through workspace permissions, file shares, public links, published pages, app permissions, API scopes, and integration settings.
- Coline may remove or restrict content if we believe it violates these Terms, law, third-party rights, or service security.

Kairo and AI
Kairo is Coline's AI layer. It can answer questions, search workspace context, generate text, create or modify workspace objects, call tools, use installed app integrations, summarize content, remember preferences, and execute sandboxed code when you ask it to.
AI output may be inaccurate, incomplete, offensive, unsafe, or unsuitable for your use case. You are responsible for reviewing AI output before relying on it, publishing it, sending it, executing it, or using it to make decisions.
- Do not use Kairo to make decisions requiring professional judgment in legal, medical, financial, employment, housing, insurance, or safety-critical contexts without qualified human review.
- Do not use Kairo, automation, or code execution to bypass access controls, attack systems, exfiltrate secrets, scrape unlawfully, generate malware, spam users, or violate law.
- Sandboxed code execution may be limited, logged, require user approval, block network access by default, or be disabled at any time.

APIs and apps
Coline provides public APIs, SDKs, OAuth flows, app registration, app installs, app permissions, webhooks, app secrets, request logs, and usage-based platform features. These developer features are part of the service and are subject to these Terms.
API keys and OAuth
Keep credentials secret, request only needed scopes, honor user and workspace permissions, respect rate limits, and rotate or revoke credentials if compromised.
Apps and marketplace
App owners are responsible for app manifests, hosted endpoints, privacy practices, security, support, data handling, permissions, webhooks, and any claims made about their apps.
Coline may review, reject, suspend, disable, archive, rate limit, or remove apps, API access, webhook deliveries, OAuth clients, or API keys that violate these Terms, create risk, or degrade the service.

Acceptable use
You may not misuse Coline or help anyone else misuse Coline. Prohibited conduct includes:
- Violating law, contracts, intellectual property rights, privacy rights, publicity rights, export controls, or third-party platform rules.
- Uploading, publishing, or distributing malware, illegal content, exploit code, abusive content, non-consensual intimate content, child sexual abuse material, or content that promotes violence or serious harm.
- Attempting to bypass authentication, authorization, rate limits, billing controls, sandbox restrictions, security controls, usage caps, or workspace permissions.
- Interfering with Coline's infrastructure, probing for vulnerabilities outside authorized security testing, sending spam, scraping at scale, or degrading service reliability.
- Misrepresenting identity, app behavior, app permissions, AI-generated content, security posture, or affiliation with Coline.

Billing
Paid plans, workspace purchases, trials, AI usage, API credits, add-ons, and other paid features are billed according to the plan, checkout, invoice, or order terms shown when you buy or activate them. Coline may use third-party payment processors, such as Stripe, to process payments.
Usage limits, storage limits, AI request limits, integration limits, code-editor access, publishing, Coline Share, trials, credits, and workspace entitlements may vary by plan and may change over time. Unless a specific agreement says otherwise, fees are non-refundable except where required by law.
If payment fails, a subscription is canceled, credits are exhausted, or a trial expires, Coline may downgrade, limit, suspend, or disable paid features after any notice required by law or your applicable agreement.

Third-party services
Coline integrates with third-party services such as authentication providers, payment processors, analytics tools, AI model providers, cloud infrastructure, GitHub, Linear, app providers, OAuth providers, webhook receivers, and other tools you authorize or install.
Third-party services are not controlled by Coline. Your use of them may be governed by their own terms, privacy policies, security practices, rate limits, and fees. Coline is not responsible for third-party services or for content, actions, outages, data handling, or changes by those providers.

Termination
You may stop using Coline at any time. Workspace owners and admins may remove users, revoke app installs, rotate API keys, archive workspaces, delete content, or cancel paid plans subject to workspace permissions and applicable agreements.
Coline may suspend, restrict, or terminate access to accounts, workspaces, apps, APIs, integrations, or features if we believe there is a violation of these Terms, a security risk, unlawful activity, non-payment, abuse, or harm to Coline, users, or third parties.
Sections about content licenses, fees, disclaimers, limits of liability, indemnity, dispute terms, and other provisions that by nature should survive termination will survive.

Legal terms
Coline intellectual property
Coline and its software, branding, design, documentation, APIs, SDKs, websites, systems, and technology are owned by Coline or its licensors. These Terms do not transfer any Coline intellectual property rights to you.
Service changes
Coline may add, modify, suspend, limit, or discontinue features, plans, models, providers, APIs, SDKs, integrations, or apps. We may update these Terms, and the updated version will apply after it is posted or after any notice period required by law.
Disclaimers
Coline is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Coline disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation.
Liability limits
To the maximum extent permitted by law, Coline will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, or substitute services.
Indemnity
You will defend and indemnify Coline from claims, liabilities, damages, losses, and expenses arising from your content, apps, integrations, API usage, violation of these Terms, or violation of law or third-party rights.
Governing law
These Terms are governed by the laws of the jurisdiction where Coline Technologies, Inc. is organized, without regard to conflict-of-law rules, unless your applicable enterprise agreement says otherwise.

Developer apps and third-party integrations may add their own terms. Review them before granting permissions.
These Terms do not grant permission to attack, scrape, spam, reverse engineer, or bypass Coline security or service limits.
